Exciting Opportunity in a Global Banking Environment

An exceptional opportunity exists for a Mid-Level Banking & Finance Attorney to join a specialist legal team supporting a global banking client in a highly technical and documentation-focused role.

This position is ideal for an attorney with experience in banking and finance, derivatives documentation, repo, securities lending, or asset management, who is confident reviewing complex legal documentation and applying sound legal judgement in relation to close-out netting, enforceability, and financial markets documentation.

The successful candidate will collaborate closely with stakeholders across EMEA and the US, supporting large-scale legal documentation and regulatory projects within a sophisticated global markets environment.

Key Responsibilities

Legal Documentation Review & Analysis

  • Review and analyse existing repo and securities lending master agreements against internal banking policies and legal opinion requirements
  • Assess master agreements governed by English and New York law, including:
    • GMSLA (Global Master Securities Lending Agreement)
    • GMRA (Global Master Repurchase Agreement)
    • MSLA (Master Securities Loan Agreement)
    • MRA (Master Repurchase Agreement)
  • Conduct close-out netting analysis and enforceability assessments across various legal entities and jurisdictions

Due Diligence & Risk Assessment

  • Undertake due diligence and netting reviews across multiple counterparty legal entity structures
  • Apply sound legal interpretation, risk assessment, and escalation protocols where required
  • Provide practical legal recommendations aligned with market and regulatory requirements

Documentation & Negotiation

  • Draft, review, negotiate, and execute legal documentation, including amendment agreements
  • Support remediation and repapering initiatives to align legacy documentation with current industry standards
  • Assist in documentation upgrades in accordance with client requirements and market practices

Stakeholder Engagement

  • Liaise with internal stakeholders across Legal, Credit, Operations, and Front Office teams
  • Manage stakeholder expectations and resolve documentation or netting-related legal issues
  • Work collaboratively with global teams across EMEA and the United States

Project Governance & Reporting

  • Manage documentation review workflows from initiation through execution
  • Ensure quality control and timely progression of matters
  • Maintain accurate reporting on documentation status, milestones, and legal review progress
  • Contribute to governance enhancements and technology-enabled operating models

Minimum Requirements

Qualifications

  • Admitted Attorney  
  • BCom LLB
  • Postgraduate legal qualification advantageous

Experience

  • 3+ years’ post-admission experience in:
    • Banking & Finance
    • Asset Management
    • Derivatives Documentation
    • Financial Markets / Related Practice Areas
  • Experience drafting, reviewing, and/or negotiating:
    • Derivatives documentation
    • Repo agreements
    • Securities lending master agreements
    • Banking documentation and confirmations
  • Strong understanding of:
    • Close-out netting
    • Enforceability concepts within financial markets documentation
  • Experience with documentation remediation, repapering, or large-scale regulatory projects advantageous
