A leading independent corporate advisory and JSE Sponsor firm based in Sandton is looking to expand its team. This is a unique opportunity for a commercially minded legal professional to pivot out of traditional legal practice and enter the high-paced world of Corporate Finance and Equity Markets. This firm is known for its agility and involvement in complex transactions, offering a distinct alternative to the large banking environments.
About the role
This position is designed for a Junior Associate or recently Admitted Attorney who wishes to specialize in the Equity Sponsor sphere. You will move away from general legal consulting to focus specifically on the regulatory framework of the Johannesburg Stock Exchange. You will work closely with senior executives to guide listed companies through the JSE Listings Requirements, bridging the gap between strict legal compliance and strategic commercial advice.
Key responsibilities
- Regulatory Advisory: Advising listed clients on the interpretation and application of the JSE Listings Requirements, the Companies Act, and the Takeover Regulations.
- Transaction Management: assisting with the drafting and review of shareholder circulars, pre-listing statements, prospectuses, and SENS announcements.
- Corporate Actions: Providing support on capital raisings, unbundlings, rights offers, and Mergers & Acquisitions (M&A).
- Compliance Monitoring: Managing the ongoing obligations of listed client portfolios to ensure they remain compliant with exchange regulations.
- Due Diligence: Conducting detailed legal and financial due diligence for new listings and corporate transactions.
- Liaison: Acting as a primary point of contact between listed company Boards and the JSE.
Requirement - The successful candidate will have
To be considered for this pivot, candidates must meet the following strict criteria:
- Education: LLB Degree is essential. (BCom Law is advantageous).
- Qualification: Must be an Admitted Attorney (or about the be admitted) of the High Court.
- Experience: Completion of Articles of Clerkship at a reputable, top-tier, or recognized boutique law firm.
- Departmental Exposure: Must have specific experience (during articles or post-articles) in Banking & Finance or Corporate & Commercial departments.
- Aptitude: A strong interest in financial markets and the ability to interpret financial statements.
- Attributes: High attention to detail, resilience under pressure, and the confidence to engage with C-suite executives.
